1. Acceptance of Terms

By accessing, using, or attempting to use any aspect of the simple pay Payment Technology platform ("Platform "), including but not limited to our website, application programming interfaces (APIs), mobile applications, payment processing services, digital infrastructure, software development kits, or any related technological systems, you ("User,""Client,""Merchant,""End User,"or "you ") acknowledge that you have carefully read, thoroughly understood, and unconditionally agree to be legally bound by these Terms of Service ("Terms,""Agreement,"or "ToS ") in their entirety, without reservation or mental qualification.

These Terms constitute a comprehensive, legally binding, and enforceable agreement between you and simple pay Payment Technology Co., Ltd. ("simple pay,""Company,""we,""us,"or "our "), a financial technology company duly incorporated and operating under the laws of the Kingdom of Cambodia, with company registration number [To be inserted], business license number [To be inserted], principal office located at [Address to be inserted], Phnom Penh, Kingdom of Cambodia, and authorized to conduct financial technology operations under the supervision of the National Bank of Cambodia.

Your access to or use of our Platform, regardless of the duration, frequency, or nature of such use, constitutes your electronic signature and legally binding consent to these Terms, equivalent in all respects to your physical signature on a written agreement executed in the presence of witnesses and notarized according to Cambodian legal requirements. If you do not agree to any provision, clause, or requirement of these Terms, you must immediately cease all use of our Platform and services, and you are permanently prohibited from accessing our systems, processing any transactions through our infrastructure, or utilizing any aspect of our technological capabilities.

4. Account Registration

Access to our Platform requires completion of our comprehensive, multi-layered registration and verification process, designed to ensure full compliance with Cambodian financial regulations, international anti-money laundering standards, counter-terrorism financing requirements, and identity verification protocols established by regulatory authorities.

5. Authorized Usage and Automatic Financial Recovery Systems

Access to our Platform is strictly limited to properly registered, thoroughly verified, and specifically authorized users operating in full compliance with our comprehensive verification protocols, National Bank of Cambodia regulations, and international financial service standards.

6. Payment Processing

Our Platform facilitates comprehensive payment processing services with advanced security measures, sophisticated risk management capabilities, and strict regulatory compliance protocols designed to ensure secure, efficient, and reliable financial transactions while maintaining the highest standards of data protection and fraud prevention.

7. Fee Structure

Usage of our Platform is subject to a comprehensive, transparent fee structure designed to reflect the value of our services while maintaining competitive pricing within the financial technology marketplace. All fees are clearly disclosed and calculated according to published methodologies.

We implement industry-leading, military-grade security measures to protect user data, transaction information, and platform integrity, exceeding international standards for financial technology security and data protection. Our protocols include end-to-end encryption, multi-factor authentication, regular security audits, and continuous monitoring to safeguard against unauthorized access and cyber threats.

9. Prohibited Activities

Users are strictly prohibited from engaging in any activities that violate Cambodian law, international regulations, or our internal policies. This includes, but is not limited to, money laundering, terrorist financing, fraud, processing payments for illegal goods or services, and any attempt to compromise the security or integrity of our Platform.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE CAMBODIAN LAW AND INTERNATIONAL LEGAL PRINCIPLES, simple pay SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR BUSINESS OPPORTUNITIES ARISING OUT OF OR RELATING TO THESE TERMS OR THE USE OF OUR PLATFORM. Our total liability shall not exceed the fees paid by you in the preceding twelve months.

11. Indemnification

You agree to indemnify, defend, and hold harmless simple pay, its officers, directors, employees, agents, subsidiaries, and affiliates from any and all claims, damages, losses, costs, and expenses (including reasonable attorney's fees) arising from your use of our Platform in violation of these Terms, applicable laws, or third-party rights.

12. Termination Procedures

Either party may terminate this Agreement by providing written notice. We reserve the right to immediately suspend or terminate your access for violations of these Terms, suspected fraud, failure to pay fees, or as required by law. Upon termination, your right to use the Platform will cease, and we may delete your account data in accordance with legal retention requirements.

13. Regulatory Compliance

Our Platform operates in strict compliance with Cambodia’s financial regulations. Users must comply with all applicable laws, including anti-money laundering (AML), counter-terrorism financing (CTF), Know Your Customer (KYC), tax reporting, and data protection regulations in their respective jurisdictions.

14. Dispute Resolution

Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the Cambodia Commercial Arbitration Centre or through the competent courts of the Kingdom of Cambodia. Users consent to the exclusive jurisdiction of Cambodian courts.

15. Terms Modification

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on our Platform at least thirty (30) days before the effective date. Continued use of our services after such modifications constitutes acceptance of the updated Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Cambodia, without regard to its conflict of law principles. Legal proceedings shall be subject to the exclusive jurisdiction of the courts of Cambodia.
